Terms of Service

Welcome to EasyPeasy Sales, operated by TKC Consulting LLC. These Terms of Service ("Terms") govern your access to and use of the EasyPeasy Sales CRM platform, website, and related services (the "Service").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

1. Definitions

• "EasyPeasy Sales" or "we" means TKC Consulting LLC, operator of the Service.
• "Customer" or "You" means the individual or entity that has registered for the Service.
• "Service" means the EasyPeasy Sales SaaS CRM platform, including all features, tools, and documentation.
• "Account" means your account on the Service, which may include multiple users.
• "Customer Data" means all data you upload, create, or store in the Service.
• "User" means any individual you authorise to use the Service under your Account.

2. The Service

EasyPeasy Sales provides a cloud-based CRM platform with features including but not limited to pipeline management, contact and company management, AI-powered sales coaching and prospecting, email campaign tools, document generation, and market intelligence.

We may modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice of material changes to the Service.

3. Account Registration

1. You must be at least 18 years old to create an account.
2. You must provide accurate and complete information when registering.
3. You are responsible for maintaining the security of your account credentials and for all activity under your account.
4. You must not share your account credentials with unauthorised individuals.
5. You may invite users to your account. You are responsible for all activity by users you invite.
6. You represent that you have the authority to bind your organisation to these Terms.

4. Acceptable Use

You agree to use the Service in accordance with our Acceptable Use Policy and all applicable laws. You must not:

• Use the Service for any unlawful purpose
• Upload data that you do not have the right to process
• Send unsolicited commercial emails (spam) through the Service
• Attempt to disrupt, reverse engineer, or compromise the security of the Service
• Use the Service to process data of individuals without a lawful basis under the GDPR

5. Subscriptions and Billing

1. Plans: We offer subscription plans with varying features and limits. Plan details and pricing are displayed on our pricing page.
2. Flat-fee pricing: All plans are charged as a flat monthly or annual fee, regardless of the number of users, subject to your plan's activity limits and credit caps.
3. Payment: Subscriptions are billed in advance through our payment processor, Stripe. You authorise us to charge your payment method for all fees.
4. Billing cycle: Monthly plans are billed each month. Annual plans are billed each year in advance and receive a 20% discount on the equivalent monthly price (conditions apply — see below and our Refund Policy).
5. Annual billing discount — conditions apply: Customers who choose annual billing receive a 20% discount on the listed monthly price, calculated as (monthly fee × 12) less 20%. In the event that an annual subscription is cancelled before the end of the 12-month term, the discounted annual rate shall be reverted to the full monthly price for the months the Service was used, prorated from the subscription start date. Any partial month used will be charged as a full month at the standard monthly rate. The difference between the prorated monthly charges and the annual amount already paid will be calculated, and any balance owed will be charged or any overpayment refunded. 6. Automatic renewal: Your subscription automatically renews at the end of each billing cycle unless you cancel before the renewal date.
7. Price changes: We may change pricing with at least 30 days' notice. Price changes take effect at the next renewal after the notice period. You may cancel before the renewal if you do not agree to the new price.
8. Taxes: All fees are exclusive of applicable taxes, which will be added where required by law.

6. Free Trials

1. We may offer free trials of the Service for a limited period.
2. Free trials are subject to reduced feature limits and activity caps.
3. Free trials do not require a payment method and will not automatically convert to a paid subscription unless you actively subscribe.
4. At the end of a free trial, your access to premium features will be suspended until you subscribe.
5. We may modify or terminate free trial offerings at any time.

7. Setup Fees

Some plans may include a one-time setup fee for personalised configuration, branding, and onboarding. Setup fees are non-refundable once the setup work has commenced, as described in our Refund Policy.

8. Intellectual Property

1. Service ownership: The Service, including all software, design, features, and content, is owned by EasyPeasy Sales and protected by intellectual property laws.
2. License to you: We grant you a limited, non-exclusive, non-transferable licence to use the Service for your internal business purposes during your subscription.
3. Customer Data: You retain all rights to your Customer Data. You grant us a licence to process Customer Data as necessary to provide the Service under our Data Processing Agreement.
4. Feedback: If you provide feedback or suggestions about the Service, we may use them without obligation to you.

9. Customer Data and Data Protection

1. You are the data controller for Customer Data containing personal data. We are the data processor.
2. You are responsible for ensuring you have a lawful basis for processing personal data in the Service, including data about your contacts and prospects.
3. We process Customer Data in accordance with our Data Processing Agreement and Privacy Policy.
4. You must ensure your use of the Service, including email campaigns and contact data processing, complies with the GDPR, the Privacy and Electronic Communications Regulations (PECR), and any other applicable data protection laws.

10. AI-Generated Content

1. The Service includes AI-powered features that generate content based on your input.
2. AI-generated content may be inaccurate, incomplete, or inappropriate.
3. You are responsible for reviewing and verifying all AI-generated content before using it in business communications or decisions.
4. We are not liable for any consequences arising from your use of AI-generated content.

11. Confidentiality

Each party agrees to keep confidential any non-public information received from the other party, including pricing, Customer Data, and technical information. This obligation survives termination for a period of 3 years.

12. Service Availability

1. We strive to maintain high availability but do not guarantee uninterrupted service.
2. We are not liable for downtime caused by circumstances beyond our control, including internet outages, sub-processor failures, or force majeure.
3. We will use reasonable efforts to provide advance notice of scheduled maintenance.

13. Limitation of Liability

1. To the maximum extent permitted by law, EasyPeasy Sales shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, business, or goodwill.
2. Our total aggregate liability arising from or related to these Terms or the Service shall not exceed the amount you paid in the 12 months preceding the claim.
3. This limitation does not apply to liability for death or personal injury caused by our negligence, fraud, or any liability that cannot be excluded by law.

14. Indemnification

You agree to indemnify and hold harmless EasyPeasy Sales, its officers, directors, and employees from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your breach of these Terms
• Your use of the Service, including AI-generated content
• Your Customer Data, including claims that it infringes third-party rights or violates data protection laws
• Your use of the Service to send emails or communications in violation of applicable laws

15. Term and Termination

1. Term: These Terms begin when you create an account and continue until terminated.
2. Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing cycle. No refunds are provided for partial billing periods (see our Refund Policy).
3. Termination by us: We may suspend or terminate your account if you breach these Terms, fail to pay fees, or use the Service in a manner that risks harm to us or other users.
4. Effects of termination: Upon termination, your access to the Service will cease. We will delete your Customer Data within 30 days of termination, unless legally required to retain it.

16. Suspension

We may suspend your access to the Service immediately, without prior notice, if:

• You violate these Terms or our Acceptable Use Policy
• Your account poses a security risk or is being used for fraudulent activity
• We are required to do so by law or regulatory authority
• You have unpaid fees past due by more than 15 days

We will provide notice of suspension where practicable and restore access once the issue is resolved.

17. Governing Law and Jurisdiction

These Terms are governed by the laws of the United Arab Emirates. Any disputes shall be subject to the jurisdiction of the UAE courts.

18. Dispute Resolution

1. Both parties agree to attempt to resolve any dispute informally before initiating legal proceedings.
2. You must contact us in writing with details of the dispute and allow 30 days for a response.
3. If the dispute cannot be resolved informally, it shall be subject to the jurisdiction of the UAE courts.

19. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice in the Service at least 30 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

20. Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, Refund Policy, Data Processing Agreement, and Acceptable Use Policy, constitute the entire agreement between you and EasyPeasy Sales regarding the Service.
